JIC Capital — PE & Business Restructuring
Invests in Japanese private equity and restructuring opportunities with large-scale capital supporting business transformation.
JIC Capital, Ltd. (JICC) is the private equity and business restructuring subsidiary of Japan Investment Corporation (JIC), established in September 2020 and headquartered in Tokyo. Its investment mandate covers four domains: Society 5.0 transformation (digitalization, DX), business portfolio restructuring and corporate carve-outs, enhancement of Japan's international industrial competitiveness, and development of next-generation social infrastructure. JIC itself was established in 2018 with paid-in capital of JPY 537.5 billion under the Industrial Competitiveness Enhancement Act and reports to METI.
JIC Capital targets Japanese for-profit corporations undergoing structural transformation or seeking growth capital for large-scale strategic pivots. In July 2025, JIC Capital announced a JPY 800 billion (approximately USD 5.3 billion) fund dedicated to large-scale industrial restructuring transactions — one of the largest PE vehicles in Japanese domestic history. No minimum individual deal size is publicly specified, but the program is designed for mid-to-large corporate transactions, not early-stage startups. Nonprofits, universities, and individuals are ineligible.
JIC Capital operates without a public call or application portal; deal origination is bilateral and relationship-driven. Corporations or financial sponsors seeking JICC involvement approach the firm directly. JICC evaluates strategic fit with its Society 5.0 and restructuring mandate, the credibility of the transformation thesis, and the target company's potential to enhance Japan's global competitiveness. This is a private equity investment vehicle — recipients receive equity capital or structured finance, not non-dilutive grant funding.
Deploys large-scale private equity and buyout capital through JIC Capital into Japanese companies undergoing industrial restructuring, portfolio transformation, or Society 5.0 digitalization.
